Terms of Service

By accessing or using any Arkodeon service, you confirm that you are at least 18 years of age, that you have the legal capacity to enter into a binding agreement, and that you agree to be bound by these Terms and our Privacy Policy.

2.1 Software Development

Design, creation, deployment, and maintenance of custom software applications, websites, and enterprise systems for clients.

2.2 SaaS Products

Digital platforms and software-as-a-service solutions operated by Arkodeon, including MarketLogger and any future products.

2.3 IT Consulting

Technology consulting services including system analysis, digital transformation advisory, and technology implementation.

2.4 Training and Technical Support

Training, technical support, and educational services related to software, web technologies, and information systems.

3.1 Account Creation

When creating an account, you agree to provide accurate, complete, and current information and to keep that information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at contact@arkodeon.com if you suspect unauthorised access.

You agree to use Arkodeon's services only for lawful purposes. The following uses are prohibited:

• Using any Arkodeon service for any unlawful purpose or in violation of Nigerian law.
• Attempting to gain unauthorised access to any Arkodeon system, server, or account.
• Transmitting data that is harmful, offensive, defamatory, fraudulent, or infringes any third party's rights.
• Using automated tools to access or extract data from Arkodeon services without prior written permission.
• Attempting to reverse-engineer, decompile, or derive the source code of any Arkodeon product.
• Reselling or commercially exploiting Arkodeon's services without an express written agreement.
• Introducing malicious code or software designed to damage or disrupt our systems.
• Impersonating Arkodeon, its employees, or any other person or entity.

5.1 Ownership

You retain full ownership of all data, records, and content you enter into Arkodeon's products. Arkodeon does not claim any ownership over your content.

5.2 Licence to Operate

By using our services, you grant Arkodeon a limited, non-exclusive, royalty-free licence to access, store, and process your content solely to provide you with the service. This licence ends when you delete your content or close your account.

All intellectual property in Arkodeon's products, platforms, website, branding, software code, designs, and content — including the name 'Arkodeon' and the MarketLogger brand — belongs exclusively to Arkodeon Technologies Ltd.

You may not copy, reproduce, distribute, modify, or commercially exploit any part of Arkodeon's products or content without our prior written consent.

7.1 MarketLogger Subscription Plans

7.2 Free Trial

MarketLogger offers a 30-day free trial for new users. No payment card is required to start the trial. At the end of the trial period, you must subscribe to continue recording new transactions. Your existing data remains accessible in read-only mode for 3 days after trial expiry. We will send SMS reminders at day 27 and day 29 of your trial.

7.3 Subscription Renewal & Cancellation

Subscriptions do not auto-renew. You must actively renew before or after expiry. There is no cancellation penalty — simply do not renew and your subscription will lapse at the end of the paid period. Your data is never deleted on expiry.

7.4 Payment Processing

Payments are processed through Paystack via USSD, bank transfer, or debit card. Arkodeon does not store your payment card details.

7.5 Refunds

Subscription fees are non-refundable once a billing period has begun, except where required by Nigerian consumer protection law. Contact contact@arkodeon.com for any payment dispute.

Arkodeon builds its products for the Nigerian reality — inconsistent power, variable connectivity. We design for resilience, but we cannot guarantee uninterrupted access to our services.

Where an Arkodeon product is designed to operate offline (such as MarketLogger), the offline functionality is not dependent on server availability.

Our services may integrate with third-party services including Paystack, Africa's Talking, and Firebase. Arkodeon does not control these third parties and is not responsible for their content, availability, or terms.

10.1 'As Is' Provision

Arkodeon's services are provided 'as is' and 'as available'without warranties of any kind, to the fullest extent permitted by Nigerian law.

10.2 No Financial or Legal Advice

Nothing in any Arkodeon product constitutes financial, accounting, legal, or professional advice. MarketLogger is a record-keeping and management aid — not a substitute for professional counsel.

In no event shall Arkodeon's total liability to you exceed the total amount you paid to Arkodeon in the 12 months preceding the event — or, where no payment has been made, NGN 50,000.

You agree to indemnify and hold harmless Arkodeon Technologies Ltd from and against any claims, liabilities, damages, and expenses arising out of your use of our services, your violation of these Terms, or your infringement of any third party's rights.

13.1 Termination by You

You may stop using Arkodeon's services at any time. To close an account and request deletion of your data, contact us at contact@arkodeon.com.

13.2 Termination by Arkodeon

Arkodeon reserves the right to suspend or terminate your access for breach of these Terms, conduct harmful to other users, or where required by Nigerian law.

14.1 Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, including CAMA 2020, the NDPR 2019, and the NDPA 2023.

14.2 Informal Resolution

Before pursuing formal proceedings, contact us at contact@arkodeon.com and give us a reasonable opportunity to address your concern.

We may update these Terms from time to time. When we make material changes, we will update the effective date, post a notice on our website, and where changes affect paid services, notify you by email with at least 30 days's notice.
